Business Formation and Structuring

The manner in which a business is formed and structured has a substantial impact on its operations, profits and ultimate success. The structure of a business also significantly affects the rights of shareholders or other holders of equity interests. Our firm has deep experience in forming and structuring entirely new enterprises, creating new subsidiaries of existing companies, and restructuring the operations of groups of companies.

On a regular basis, we assist clients in selecting the proper form of business entity to maximize liability protections and tax-efficiencies. Providing proper initial structuring, or subsequent restructuring, helps facilitate raising debt and equity capital, growth strategies and exit and succession planning, including mergers, acquisitions and divestitures.

Almost all aspects of business formation and structuring involve tax considerations. Three of our lawyers hold Masters of Law degrees in taxation, which play a huge role in maximizing tax efficiencies and driving dollars to the bottom line for our clients. In our tax planning practice, we work regularly with our clients' accountants and other tax advisors.
