Chorey, Taylor & Feil's tax attorneys are have a wide range of experience dealing with federal, state and local income tax issues. Three of our attorneys have a Masters in Taxation Degree, and three others have degrees in accounting. This experience and training allows us to provide our clients with legal and tax advice on a variety of income tax issues that arise throughout the life of a business. These issues include choosing the appropriate entity when forming a business organization, such as C corporation, Subchapter S corporation, limited partnership or limited liability company. We also advise clients regarding choice of entity issues when the current business form is not appropriate for business, legal and tax purposes.

Additionally, we assist business and individual clients in structuring transactions to minimize federal and state income taxes in connection with stock options, compensation and incentives, mergers, acquisitions, divestitures other corporate reorganizations, and cancellation of indebtedness. We are also called upon to assist clients with the dissolution and liquidation of businesses they no longer desire to operate.

We provide tax and legal advice to executives and other highly compensated individuals. Typically, we assist these individuals when they are initially employed, when they are offered additional compensation or bonuses, including stock options, or when their company is merged or acquired. Our tax practice also includes the representation of clients before the Georgia Department of Revenue in connection with income, sales and use tax issues; and representation of clients before the Internal Revenue Service in connection with various types of federal tax controversies.

We also have experience with obtaining ad valorem tax (property tax) exemptions in the State of Georgia. Generally, educational institutions, certain charitable institutions, cemeteries, churches, and certain other types of organizations or uses are eligible for this type of exemption. Our corporate clients also include various tax exempt organizations, to which we give tax and other legal advice on the special regulations that apply to tax exempt organizations.
